Novice just learn how to make dropdown menu

I have many links that I share in this blog. I use blogspot. So I ended up having links splatter all over my sidebar. This does not look good. I finally learn how to create dropdown menu for my link by using blogger provided html/java script widget. I learn it in Technical Bliss blog.

This is very useful for a novice like me.

I found out that actually I can repeat the code so I can have several dropdown menus with different categories in the same section of my sidebar without having to add HTML/Java Page Element for each dropdown menu.

So try it. But please add a breaking tag after the end of the code (the last tag with "/select" wording) or your dropdown menus will stick together. The breaking code is the first code (the one between "<" and ">" with "br/" wording).

Merger di Indonesia telah berkembang sedemikian rupa sehingga menjadi sebuah alternatif strategi yang menarik bagi banyak perusahaan baik domestik maupun asing untuk melakukannya. Keinginan untuk meningkatkan economic size maupun untuk memperkuat daya saing perusahaan dalam menghadapi tekanan pesaing yang demikian kuat merupakan alasan yang paling umum dalam melakukan akuisisi maupun merger.

"In Indonesia, Merger has grown as such making it an attractive alternative strategy for many domestic and foreign companies to do."

Demikian juga di banyak negara lainnya. Bahkan di Amerika Serikat dan Eropa fenomena merger dan akuisisi telah melibatkan perusahaan-perusahaan raksasa dalam upaya memperkuat akses pasar, meningkatkan daya saing, mengamankan perusahaan terhadap kemungkinan ‘penjarahan’ oleh perusahaan lain sejenis.

"That also true in many other countries. Even in the United States and Europe, this merger and acquisition phenomena is used by giant companies to strengthen their market access, increase their competitiveness and safe guard against raid by other companies in the same business."

Di Indonesia aksi merger kian fenomenal. Dan menjadi semakin sulit dibendung karena pemerintah sebagai regulator maupun sebagai fasilitator memandang perlu untuk mendorong perusahaan-perusahaan baik swasta maupun BUMN untuk memperkuat diri dalam menghadapi tantangan globalisasi ekonomi dunia. Tujuannya memang sangat baik yakni untuk memperkuat ekonomi nasional lewat daya saing yang tinggi. Dan untuk itu perusahaan-perusahaan swasta maupun BUMN perlu menyatukan kekuatan mereka agar tidak ‘termakan’ oleh perusahaan multinasional. Kita tidak bisa membendung apalagi melarang perusahaan-perusahaan dunia untuk beroperasi di Indonesia dengan alasan apapun juga.

"In Indonesia merger is getting even more phenomenal. The government, as regulator or facilitator, also deemed necessary to encourage private and state owned enterprise to strengthen themselves in facing the globalization of the world economy. The objective is really very good, which is to strengthened the national economy through high competitive level. For that private and state owned companies must joint their strength so as not to get devoured by the multinational companies. We cannot, for any reason, block or more so barred the world companies from operating in Indonesia."

Contoh yang paling kuat saat ini adalah dorongan dari Bank Indonesia melalui kebijakan single presence agar bank-bank nasional melakukan merger agar menjadi lebih efisien, lebih kokoh dalam permodalan sehingga memiliki daya saing yang kuat secara internasional. Dorongan yang sama pun berlaku di perusahaan-perusahaan sekuritas, asuransi dan lainnya dengan sasaran akhir yang sama pula.

"Currently, the strongest evidence is the encouragement from Bank Indonesia, through its "Single Presence" policy, for national banks to merge so they can become more efficient and capitally stronger toward having internationally stronger competitive level."

Merger di Indonesia secara umum diatur dalam Undang-undang No.1/1995 mengenai Perseroan Terbatas, Peraturan Pemerintah No. 27/1998 mengenai Penggabungan, Peleburan dan Pengambilalihan Perseroan Terbatas, Peraturan Pemerintah No. 28/1999 mengenai Merger, Konsolidasi dan Akuisisi Bank dan peraturan-peraturan lain yang terkait.

"Mainly, merger in Indonesia is covered under Law No. 1/1995 about Corporation, Government Regulation No. 27/1998 about Merger, Consolidation and Acquisition of Companies, Government Regulation No. 28/1999 about Merger, Consolidation and Acquisition of Bank as well as several other related regulations."

Untuk perusahaan Terbuka, merger diatur dalam Peraturan Bapepam No. IX.G.1 mengenai Penggabungan dan Peleburan Usaha Perusahaan Public atau Emiten.

"For publicly listed companies, merger is regulated through Bapepam (Capital Market Supervisory Board) Regulation No. IX.G.1 about Merger and Consolidation of Publicly Listed Company or "Emiten".

Merger secara umum adalah penggabungan sedangkan secara hukum di Indonesia merger dapat dalam bentuk Penggabungan atau Peleburan. Penggabungan adalah perbuatan hukum yang dilakukan oleh satu perseroan atau lebih untuk menggabungkan diri dengan perseroan lain yang telah ada dan selanjutnya perseroan yang menggabungkan diri menjadi bubar. Peleburan adalah perbuatan hukum yang dilakukan oleh dua perseroan atau lebih untuk meleburkan diri dengan cara membentuk satu perseroan baru dan masing-masing perseroan yang meleburkan diri menjadi bubar. Masing-masing pilihan memiliki efek yang berbeda baik secara strategis maupun keuangan bahkan dapat mempengaruhi penggabungan operasional.

"Merger in general is a unification, meanwhile from legal point of view merger can be in the form of a Merger or a Consolidation. Merger is a legal action of one or more corporations to unify by way of getting into another established corporation where the unifying corporations becoming dissolved. Consolidation is a legal action of one or more corporations to unify by way of creating a new legal entity where all of the unifying entities are dissolved."

Dalam menuju merger, perusahaan harus memperhatikan banyak aspek seperti aspek operasional, organisasi, hukum, pajak, akuntansi hingga SDM. Seluruh aspek-aspek tersebut dengan tuntutannya masing-masing saling mempengaruhi dan dapat mengaburkan tujuan utama dari keiinganan untuk merger tersebut. Bahkan pada kasus-kasus tertentu menggagalkan rencana merger tersebut.

"In merger, company needs to deal with many aspects, such as operation, organization, legal, taxation, accounting and up to human resources aspects. All of those aspects, with its different needs, are inter-effecting one another and can blurred the main goal and the point for merging. In certain cases, it even stop the merger plan."

Sebagai contoh misalnya dari sisi ketenagakerjaan. Landasan utama yang digunakan adalah UU No.13 tahun 2003 tentang Ketenagakerjaan. Dalam UU ini dijelaskan bahwa perusahaan dapat memutuskan hubungan kerja dalam hal adanya penggabungan/peleburan usaha apabila karyawan tersebut tidak diperlukan lagi atau apabila karyawan tersebut tidak bersedia untuk meneruskan hubungan kerja. Bila hal tersebut terjadi maka perusahaan harus membayar pesangon, uang jasa, ganti rugi dengan jumlah tertentu sesuai ketentuan dalam UU No. 13/2003.

"One example may be from human resources side. The main platform used is the Law No. 13 of year 2003 about Human Resources. In this law, it is explained that a company can discontinue employee working agreement in a merger/consolidation case if the employee service is no longer required or the employee is unwilling to continue his/her working agreement. In such a case, a company must pay severance, service and lost of benefit compensation as stipulated in the Law No. 13/2003."

Lalu apa yang menjadi masalah? Dilihat dari sisi keuangan, apakah benefit dari merger tersebut melebihi biaya merger yang salah satu sebabnya adalah terjadinya pemutusan hubungan kerja yang cukup besar.

"So what is the problem? From financial point of view, it is whether the merger benefit outweigh the merger cost in which one of the driver is the high cost of working agreement discontinuation."

Dilain pihak misalnya ada karyawan yang sangat dibutuhkan oleh perusahaan baru hasil merger tetapi memilih untuk berhenti. Artinya perusahaan harus memberikan kompensasi terhadap karyawan tersebut sesuai peraturan. Tetapi karena tenaganya sangat dibutuhkan perusahaan maka perusahaan tidak memiliki opsi lain kecuali merekrut kembali untuk menjadi karyawan perusahaan mungkin dengan biaya yang lebih tinggi.

"In other case, there maybe employees whose service are needed by the newly merged company, but decide to discontinue their working agreement. This mean the company has to pay that employees the payment as stipulated in the law. So because their service is still badly needed, the company has no choice but to rehire those employees and maybe at hire salary."

Disisi lain, banyak perusahaan gagal setelah penggabungan maupun konsolidasi terjadi. Kondisi ideal pasca merger adalah kondisi dimana sistem dan budaya perusahaan dapat menyatu dan sama sehingga tidak menciptakan konflik yang bisa berakibat fatal bagi kelanjutan perusahaan. Bahkan terbangun sebuah kekuatan baru yang hebat dibanding ketika perusahaan tersebut belum melakukan merger atau akuisisi.

"On the other hand, many companies failed after merger or consolidation. The ideal after merger condition is where system and culture is the same and can be unified without creating conflict that is fatal to business continuation."

Studi yang dilakukan Harvard Business School mengatakan bahwa perusahaan yang secara aktif mengelola budaya organisasinya mampu peningkatan revenue hingga 682% dibandingkan peningkatan pendapatan sebesar 166% yang diperoleh oleh perusahaan yang tidak mengelola budayanya. Demikian juga dengan pendapatan bersih yang naik hingga 750% bagi perusahaan yang memberi perhatian terhadap budaya dibandingkan hanya 1% peningkatan bagi yang tidak, juga harga sahamnya melambung 900% untuk perusahaan yang secara aktif mengelola corporate culture-nya sementara yang tidak mengelola dengan baik hanya naik 74%.

"Study by Harvard Business School revealed that a company, which actively manage its organization's culture is able to improve its revenue by 682% in comparison to 166% of revenue growth of those companies that do not manage its culture. Likewise, a 750% of net income growth is experienced by those companies who pay attention to culture in comparison to 1% growth for those who do not; also share price growth is 900% for those companies that actively manage their culture meanwhile for those who do not only grow by 74%."

Apa artinya? Perusahaan harus melakukan penelaahan awal terhadap kultur perusahaan sehingga terbangun kesamaan konsep dalam hal visi, misi, cara pandang dan cara bertindak dalam perusahaan baru sebagai budaya baru perusahaan pasca merger. Dan ini harus dikelola secara terus menerus.

"What does it mean? Company must perform initial cultural review so similar concept in Vision, Mission, point of view and code of conduct can be develop in the new company as the new culture for the company after merger. Then continuous management is a must."

Oleh sebab itu perusahaan dalam merealisasikan rencana mergernya harus benar-benar memahami aturan main baik yang secara eksplisit maupun implisit. Peraturan sangat jelas tetapi dampaknya terkadang tidak mudah untuk diantisipasi dan masih banyak aspek teknis yang bisa menjebak perusahaan ke dalam masalah yang tidak mudah diatasi. Maka proses penelaahan atas kelayakan dari sesuatu merger sebaiknya dilakukan sebelum memutuskan untuk merger (bergabung atau berkonsolidasi)."

"Hence, the companies, in realizing their merger plan, must truly understand the "rules of the game" explicitly and implicitly. The regulation is very clear; however, the after effect may not be so easy to anticipate and there are many technical aspects that can trap companies into a difficult to solve problems. It is, therefore, a review proses to see the feasibility of a merger needs to be done before deciding to unify (either merging or consolidating)."
